I think thats exactly as they elaborated - that it is to keep things under the guise of italian ownership eventhough its fully controlled by Audi. . . I think also that they are just consolidating Ducati under their "Italian" management so that they can have one managing director/President that understands how Audi works to control/operate Ducati. Besides, I think the factories are like 20 minutes apart.

Well I,m pretty sure that real owner of Ducati is Volkswagon AG. Who owns Audi, Lamborghini, Bentley, Bugatti, Porsche, Seat, and others...
